KEE KOK JOO

Mr. Kee Kok Joo graduated with Bachelor of Law (Honours) from the University of Malaya, where he was awarded the "Butterworths Law Publishers Book Prize" for his best academic project paper in the area of Conflict of Law. He was voted and served as the representative of Law Faculty for two terms and has been appointed as the Deputy Chairman of the University Malaya Undergraduates’ Representatives’ Council.


Mr. Kee had his initial legal training in civil litigation where he has been assigned with complicated cases such as land dispute, injunction, fraud, winding up, employment dispute etc. He has appeared against senior counsel at trials and appellate hearing in both High Court and Court of Appeal.


Mr. Kee gained his corporate legal training in Messrs Jal & Lim, Kuala Lumpur before setting up the Firm. He has extensive and vast experience in negotiating, advising and preparing documentation in respect of general corporate and commercial matters, banking and finance matters, corporate real estate transactions, takeovers, mergers and acquisitions. He advises clients on a broad range of M & A transactions and advising developers in multi-million land deals.


Some of the notable transactions between 2007 until 2010 which Mr. K J Kee has worked on include:

  1. Acted for Mah Sing Group Berhad for the acquisition of 10 pieces of prime land adjacent to the Penang Second Link Bridge in Batu Maung, Penang Island for the total consideration of RM115.75 million. The 351,252.28 square meters lands have been developed into a mixed development comprising of signature commercial and residential properties known as Southbay Penang.
  2. Represented Salcon Berhad for the proposed acquisition of 74.165% issued and paid up share capital of Oriental Capital Assurance Berhad, one of the leading general insurance company in Malaysia for the consideration of RM129.8 million.
  3. Acted for Mah Sing Group Berhad for the acquisition of 2 pieces of prime land along Jalan Sungai Besi, within the Golden Triangle of Kuala Lumpur for the total consideration of RM52 million. The 19,254.19 square meters lands have been developed into a mixed commercial development known as Southgate Kuala Lumpur.
  4. Represented Salcon Berhad for the acquisition of a piece of prime land together with a corporate building at Jalan 223 Petaling Jaya from Amway Holdings Berhad for the consideration of RM13.5 million.
  5. Acted for Mah Sing Group Berhad for the disposal of an A-class Corporate Tower along Jalan Tun Razak, Kuala Lumpur known as ICON TUN RAZAK (West Wing), within the Golden Triangle of Kuala Lumpur to Koperasi Permodalan Felda Berhad for the consideration of RM175 million.
  6. Acted for Mah Sing Group Berhad for the disposal of a 8-Storey Corporate Building in Southgate, within the Golden Triangle of Kuala Lumpur to Koperasi Permodalan Felda Berhad for the consideration of RM236.485 million.
  7. Acted for Mah Sing Group Berhad for the disposal of an A-class Corporate Tower along Jalan Tun Razak, Kuala Lumpur known as ICON TUN RAZAK (East Wing), within the Golden Triangle of Kuala Lumpur to Prompt Symphony Sdn Bhd, a special vehicle for Kuwait Finance House for the consideration of RM237 million.
  8. Acted for Mah Sing Group Berhad for the acquisition of a piece of prime land in Cyberjaya, Malaysia for the consideration of RM130.52 million. The 115.25 acres land has been developed into a mixed residential and commercial development known as Garden Residence & Garden Plaza.

Some of the notable transactions between 2011 until 2013 which Mr. K J Kee has worked on include:

  1. Acted for UEM Land Berhad for the sale of its signature industrial project namely "Southern Industrial Logistic Cluster" (SiLC) in Nusajaya, Johor. As of now, the total transaction value handled by the Firm has exceeding RM100 million.
  2. Acted for Danga Bay Sdn Bhd for the sale of its island villas in Danga Bay namely "Danga Island".
  3. Acted for Danga Bay Sdn Bhd for its acquisition of a prime land in Kempas Johor Bahru measuring approximately 18.0464 hectares for the total consideration of RM26 million.
  4. Acted for DB Hartanah Sdn Bhd for its disposal of two pieces of prime industrial land in SiLC, Nusajaya to a Denmark company for a total consideration of RM10.73 million.
  5. Acted for AME Development Sdn Bhd for its acquisition of a prime industrial land in SiLC, Nusajaya measuring approximately 12.307 acres for the total consideration of RM12.86 million. This land will be developed into a gated and guarded industrial park comprising of semi-detached factory.
  6. Acted for Tat Hong Limited, a listed company in Singapore for its acquisition of 5 pieces of prime industrial land in SiLC, Nusajaya measuring approximately 25 acres for the total consideration of RM38.15 million.
  7. Acted for CSC Limited, a listed company in Singapore for its acquisition of a piece of prime industrial land in SiLC, Nusajaya measuring approximately 5 acres for the total consideration of RM7.6 million.
  8. Acted for Tiong Nam Properties Sdn Bhd for its signature corporate factory and shop-offices developments in Kempas, Tebrau III and Nusajaya.
  9. Acted for Strait Bay Sdn Bhd for its acquisition of four pieces of prime land in Plentong, Johor Bahru for the total consideration of RM20 million.
  10. Acted for Strait Bay Sdn Bhd for its acquisition of two pieces of prime land in Sg. Danga, Johor Bahru for the total consideration of RM30 million.
  11. Acted for Pinnacle Development Sdn Bhd for its acquisition of Plaza Kota Tinggi for the total consideration of RM10 million.
  12. Acted for Tropicana Danga Cove for its signature commercial developments in Plentong, Johor Bahru namely "Tropicana Oasis".
  13. Acted for Joland Group for its sale of an industrial development in Taman Skudai Impian, along Jalan Skudai, Johor Bahru namely "Skudai 8 Industrial Park".
  14. Acted for Joland Group for its sale of a signature luxurious service apartment at Strait View & CIQ, Johor Bahru namely "Paragon Residences @ Strait View" and "Paragon Suite @ CIQ".
  15. Acted for Sime Darby Property for its signature industrial development in Pasir Putih, Pasir Gudang Johor. As of now, the total transaction value handled by the Firm has exceeding RM100 million.
  16. Acted for UEM Land Berhad for the sale of two (2) parcels of commercial land in Nusajaya, Johor for the total consideration of RM102 million.
  17. Appointed by Ascendas Singapore as its exclusive solicitors for its 519 acres of industrial commercial mixed development at Gerbang Nusajaya.
  18. Acted for Tat Hong and CSC in their joint-venture arrangements with AME Group and Boustead Singapore for the 6 parcels of prime industrial lands in SiLC, Nusajaya.
  19. Acted for ACE Empire Development Sdn Bhd for their acquisition of lands in Gelang Patah, Jalan Tebrau and Senai-Kulaijaya for the total consideration of more than RM50 million.
  20. Acted for Guan Chong Berhad for their acquisition of land in Senai, Johor.
  21. Acted for Pacific Star Singapore for its sale of a signature luxurious service apartment at Puteri Harbour, Nusajaya namely "Puteri Cove".
  22. Acted for Tropicana (Dijaya) Corporation for their acquisition of lands in Gelang Patah and Jeram Batu for the total consideration of more than RM500 million.
  23. Acted for OCBC Bank for their corporate financing to Nusajaya Square Development Sdn Bhd for the loan amount of SGD18 million.
  24. Acted for OCBC Bank for their corporate financing to Tiong Nam Group for the loan amount of RM35million.

SITI NORAINN BINTI AB RAHMAN

Puan Siti Norainn Binti Ab Rahman graduated with Bachelor of Law (Honours) from the International Islamic University of Malaysia.


Prior joining the Firm, Siti Norainn started her legal practice with Messrs Shahrizat Rashid & Lee, Johor Bahru. She gained vast exposure especially in areas such as general conveyancing and in particularly preparing sale and purchase agreement and also some of the general litigation involving in chamber matters.


Her experiences include handling security documentation for various banks and financial institutions, drafting and preparing wills, attending to sale and purchase agreements for developers' project, individual sub-sale agreements, tenancies and etc. Apart from that she also has experience in handling probate and letter of administration of estate as well as petition for divorce.

ASMAHANI BINTI MAT RESAT

Puan Asmahani Mat Resat graduated with Bachelor of Law (Honours) from the International Islamic University of Malaysia.


She completed her practical legal training at Messrs Abdul Raman Saad & Associates, under pupilage of the senior and prominent practitioner, Mr Philip Nainan A/L Nainan. In early stage of her practice, she involved in banking litigation such as in foreclosure, hire purchase, bankruptcy, distress and etc.


Later, she joined Messrs Shahrizat Rashid & Lee, Johor Bahru as a legal associate and handling a few of the developer’s housing development projects. She was elevated as the firm senior associate for her high commitments and consistent performance.


She has a lot of experience in commercial practices and other matters related to conveyancing such as acquisitions and disposals of properties, tenancies, wills, trust deeds and also in loan documentation be it conventional or Islamic for various banks in the country.
